Purpose

Leads and oversees the Beneficial Ownership Program team in ensuring regular position monitoring and execution of business strategies, plans and initiatives in compliance with governing regulations, internal policies and procedures. The Senior Manager will work closely with the Director, Beneficial Ownership & Control Room, the GBM&T Capital Markets teams, technology and a diverse set of stakeholders to provide ongoing support and enhancements to the program, in line with Global Compliance's strategy and initiatives.

Accountabilities

  • Plays a key role in overseeing the day-to-day administration of the Beneficial Ownership Program; tracking data files from sources, building relationships with stakeholders, investigating positions and escalations across the firm, responding requests and ensuring timely and accurate reporting of positions for SEC13DG and Section 16.
  • Liaison with stakeholders in various jurisdictions to understand data, positions and conduct investigations.
  • Oversee the drafting and submission of filings in a timely and accurate manner, ensuring escalation and awareness of positions and data concerns. Maintain and enhance internal documents including procedures in support of the Program to boost the eectiveness of program delivery and reect changes in regulatory requirements.
  • Lead the development and maintain Key Performance Indicators and Key Risk Indicators for the program, including developing the processes to obtain data for such metrics. Further support with ad hoc requests/provide support as needed in respect of other aspects of the Program.
  • Performs a quality assurance function of the program, confirming review and challenge of daily, monthly and quarterly review process. Reviews will include the execution, accuracy and effectiveness of the daily checks and controls.
  • Foster and maintain collaborative relationships with key internal and external stakeholders to support the achievement of initiative deliverables and overall objectives. Leads and drives a customer focused culture throughout their team to deepen client relationships and leverage broader Bank relationships, systems and knowledge.
  • Review issues escalated by the team resulting from monitoring functions to identify key risk indicators and assess and test the adequacy of controls, identify non-compliance with compliance programs and make recommendations for and implement appropriate corrective action or process improvements.
  • Acts as a subject matter expert and elds questions from business and technology on issues of interpretation with respect to the policies administered by the Beneficial Ownership Program. Makes policy decisions within the strategic framework set by the Director. Maintains strong contacts to stay informed about current issues and practices within the industry.
  • Understand how the Bank's risk appetite and risk culture should be considered in day-to-day activities and decisions.

Education/Experience

  • Post-Secondary education and/or professional designations.
  • A minimum of 5 years of relevant experience in an institutional business or compliance setting in a large financial institution, established securities dealer or regulatory agency.
  • Demonstrated management experience leading a team of direct reports.
  • Self-motivated; ability to work both independently and collaboratively with multi-functional teams.
  • Knowledge of industry practices regarding regulatory reporting of compliance matters.
  • Excellent communication (oral and written) and interpersonal skills required.
  • Highly organized and capable of dealing with multiple, complex projects simultaneously.
  • Ability to deliver results in a fast-paced, challenging, and dynamic business environment.
  • Sound judgment in identifying risks to proactively escalate with relevant senior management.
