Senior Law Clerk or Senior Paralegal – Joint Capital Markets and Wealth Management

What is the opportunity?

As a Senior Law Clerk or Senior Paralegal – Joint Capital Markets and Wealth Management, you will provide support to the Capital Markets and Wealth Management legal teams of RBC Law Group using a high degree of analytical, communication and organizational skills, focusing on transactional and regulatory documentation for Global Markets, Global Investment Banking, Corporate Banking, Asset Management and Distribution businesses. You will build effective relationships with business and functional partners and help to ensure compliance with internal policies and procedures.

What will do?

  • Reviewing and negotiating all non-disclosure agreements for Global Markets, Global Investment Banking and Corporate Banking.
  • Drafting, updating and maintaining all Canadian corporate powers of attorney for Capital Markets entities.
  • Reviewing trading-related documentation for the Global Markets in North America, including legal opinions, electronic trading agreements, internal service level agreements, powers of attorney and other corporate supporting documents.
  • Maintaining Capital Markets template legal documentation.
  • Renewing permits and making regulatory filings for the Commodities business.
  • Assisting with reviewing, revising, updating and issues tracking for securities offering documents for various types of investment products and services, client account agreements, regulatory disclosures and investment-related marketing materials.
  • Assessing impact of regulatory developments on Capital Markets and Wealth Management businesses, and assisting with cross-border framework and policies for distributing securities in foreign jurisdictions.
  • Working with Compliance partners on legal disclaimers.

What do you need to succeed?

Must-have

  • Direct experience negotiating agreements under tight deadlines.
  • Strong ability to balance competing work demands and to work independently and collaboratively within a team.
  • Strong problem-solving, communication and decision-making skills.
  • A strong desire to build effective relationships with internal partners.

Nice-to-have

  • Paralegal designation (or equivalent experience/education).
  • Bilingual (English/French) considered an asset.
  • Familiarity with derivatives documentation, offering documents for mutual funds and other types of investment products, SEDAR+, client account agreements and regulatory disclosures.
